The “Empresa na Hora” (On the Spot Firm) initiative is available in 60 different places all around the country

With the “Empresa On-line” (On-line Company) initiative it is possible to complete the legal steps and create a company through Internet

Lawyers, solicitors, notaries as well as any person who holds a qualified digital signature, they all can use this more convenient way and complete the processes without leaving their own offices

• Paper is not mandatory: business can run electronic systems of billing, invoice and invoice records

• Some company books are no longer mandatory

• Registration formalities of company books were eliminated

• Making evidence of no past due debts referable to taxes and social security is now straightforward with the “consent for electronic check”

Till 2005, each company wasted more than 300 working hours/year only to deliver tax forms and social security forms

Now, all the public services that deal with taxes and social security are available on line

Both on-line services are quite visited and appraised

Enterprises have to submit their annual financial statements and account reports, as well as related information, to several administrative bodies

Four of these bodies sponsored a project to aggregate and streamline this information steam

The simplification of all export and import formalities and the modernization of customs, ports and terminal activities are current priorities

It is expected a huge reduction of days required to prepare and complete the process of export or import goods

Tax forms and tax processes for export are now completely dematerialized

Soon, tax forms and tax processes for import will be completely dematerialized as well

ConsolidationTrading across borders

• Intervention of the Notary (public deed) is not mandatory

• Publications in the National Gazette were eliminated

• It is possible to apply for a registration through Internet at any

Business Register office (no rules of exclusive jurisdiction)

Consolidation and renewalAcquisitions, mergers and divisions

Regulations regarding winding up and liquidation of companies were simplified in 2006

Public deed is not mandatory

Within certain conditions, winding up agreement is legally enforced immediately
